In these Terms & Conditions:
These Terms & Conditions govern all transactions with SOLID. By accepting a quotation, issuing a purchase order, or receiving goods or services, the Client is deemed to have accepted these Terms & Conditions. Any deviation, amendment, or supplementary terms introduced by the Client are null and void unless explicitly accepted in writing by an authorized representative of SOLID.
All quotations issued by SOLID are valid for a period of thirty (30) calendar days from the date of issue, unless stated otherwise. Pricing provided is based on current market rates and may be subject to adjustment in the event of raw material price increases, currency fluctuation, or changes in taxation. Unless specified, quotations exclude Service Tax (6%), delivery charges, insurance, and installation.
All orders are subject to written acceptance by SOLID. An order shall not be deemed accepted until SOLID issues a confirmation in writing or delivers the goods/services. No changes to the order shall be binding unless mutually agreed. Orders for customised or made-to-order products require a non-refundable deposit, and such orders cannot be cancelled once production or procurement has commenced.
Standard payment terms are 30% upon confirmation or issuance of a Purchase Order (PO), 65% upon substantial completion or work progression, and the remaining 5% upon final completion. All payments must be made to SOLID’s designated bank account. Late payments are subject to interest at 1.5% per month on the outstanding amount. SOLID reserves the right to suspend or cancel deliveries and ongoing work in the event of delayed or non-payment.
Delivery dates provided are estimates and are subject to delays due to factors beyond SOLID’s control, including but not limited to supplier delays, transport issues, or force majeure events. Delivery is considered complete when goods are handed over to the Client or appointed logistics party. The risk of damage or loss passes to the Client at this point. Additional terms may apply for deliveries to Sabah and Sarawak.
The Client is responsible for inspecting goods upon receipt. Claims for shortages, incorrect items, or visible damage must be lodged in writing within 48 hours of delivery. Failure to notify SOLID within this period will constitute unconditional acceptance. Hidden or latent defects must be reported within seven (7) days of discovery, but no later than Forteen (14) days from delivery.
All return requests are governed by SOLID’s Return & Refund Policy. Returns will only be accepted for defective, damaged, or incorrectly delivered goods, provided they are reported within 48 hours of receipt and the items remain unused and in original packaging. Customised, tinted, or made-to-order items are strictly non-returnable.
Products and services provided by SOLID are covered by warranty as outlined in our Product Warranty Terms & Conditions. The warranty covers manufacturing defects but excludes damage caused by misuse, improper installation, neglect, or modifications by the Client or third parties. Warranty claims must be submitted in writing, accompanied by proof of purchase and relevant evidence.
SOLID shall not be liable for any indirect, special, incidental, or consequential damages, including loss of business, profits, or data. SOLID’s total liability, whether in contract, tort, or otherwise, is limited to the amount paid by the Client for the specific goods or services in dispute.
All documents, specifications, drawings, designs, software, and intellectual outputs provided by SOLID remain its exclusive intellectual property. No part of these materials may be reproduced, distributed, or used for any purpose other than that for which they were supplied without prior written consent.
Both parties shall treat all technical, commercial, and financial information exchanged in the course of the business relationship as confidential. Neither party shall disclose such information to any third party without prior written consent, except as required by law or regulatory authorities.
SOLID may terminate any agreement immediately upon written notice if the Client breaches any material term, becomes insolvent, or ceases business operations. Upon termination, all outstanding payments become immediately due and payable, and SOLID reserves the right to retain any deposits or progress payments as liquidated damages.
These Terms & Conditions are governed by the laws of Malaysia. Any disputes arising in connection with these terms shall be resolved by the courts of Selangor or Kuala Lumpur, to which both parties irrevocably submit.
